Terms and Conditions

These Terms and Conditions ("Terms") are a legally binding agreement between you and Pingo Studios LLC, a Delaware limited liability company ("Pingo," "we," "us," or "our"). They govern the Pingo mobile application, pingoapp.co, event share pages, and related products and services that link to these Terms (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. You can contact us at support@pingoapp.co.

You must be at least 18 years old and legally able to enter into this agreement. Pingo requests your birthdate during onboarding to enforce its adults-only requirement. You may not use the Services if doing so is prohibited by law or if we previously terminated your account for a serious or repeated violation.

You must provide accurate, current information and keep it updated. Your account is personal to you. You are responsible for safeguarding your credentials and for activity performed through your account, except to the extent caused by Pingo. Notify support@pingoapp.co promptly if you suspect unauthorized access.

You may not sell, transfer, share, or create accounts through automated means, impersonate another person, evade a restriction or ban, or use another person’s credentials without permission.

Pingo provides tools for nearby social discovery, profiles and friendships, events and event chats, city and direct conversations, trip planning, traveler discovery, AI-assisted itineraries, place information, reviews, notifications, safety tools, subscriptions, and related features.

Pingo is a technology platform. Unless we expressly say otherwise, we do not organize, supervise, endorse, insure, or control user-created events, trips, conversations, or in-person meetings. We are not a travel agency and do not book transportation, lodging, visas, insurance, tours, or other travel services.

Features and availability may differ by account, subscription, device, location, or testing group and may change over time. We may maintain, modify, suspend, or discontinue a feature or the Services, subject to applicable law.

Subject to these Terms, Pingo grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the app and access the Services for lawful, non-commercial purposes.

You may not copy, modify, sell, rent, sublicense, distribute, reverse engineer, decompile, attempt to discover source code, bypass access or payment controls, interfere with security, overload the Services, scrape or harvest data, access non-public APIs, use bots or automation without written permission, or use Pingo data to build or train a competing product, except where a restriction is prohibited by law.

Profiles and relevant social or travel context may be visible to other eligible users. Nearby Buddy is opt-in: only if you enable Show Me in Nearby Buddy may eligible Pro users discover your profile there. If that setting is off or location sharing is paused, your profile will not appear in Nearby Buddy results for anyone. This applies equally to Normal and Pro accounts, and a Pro subscription never overrides another user’s visibility choice.

Pingo never provides or displays your real Nearby Buddy coordinates to another user. Nearby Buddy shows a server-generated, deliberately displaced map point and an intentionally broad distance range rather than your real coordinates or exact distance. It does not provide other users with your precise stored location or a movement history.

You must not use Pingo, Nearby Buddy, event locations, trip information, or any presence signal to stalk, monitor, harass, dox, intimidate, infer movement patterns, or otherwise compromise another person’s privacy or safety. You may not record, scrape, aggregate, republish, or commercially exploit this information.

If you deliberately share a location in a conversation, the exact coordinates you select are shared with that conversation’s participants. Use this feature carefully and only share a location you have the right and intention to disclose.

Event organizers are responsible for lawful, accurate event details, appropriate venue selection, capacity, age settings, approvals, participant communication, and safe operation. A request to join does not guarantee admission, and an organizer may approve, deny, remove, or waitlist a participant subject to these Terms and applicable law.

Public events may appear throughout the Services and on share pages. Private events are excluded from general discovery but are unlisted rather than secret. Anyone who receives or obtains a private-event share link may view information exposed on the share page and use the link to open Pingo. Do not include sensitive or confidential information in event details, and share private-event links only with intended recipients.

Trip and traveler features may display destinations, dates, overlaps, profile previews, and related context to eligible users. You are responsible for verifying travel requirements and making your own transportation, lodging, insurance, health, visa, and safety decisions.

"User Content" includes profile information, photos, messages, event details, trip information, itineraries, reviews, tips, notes, reports, and other material you submit through the Services. You retain ownership of your User Content.

You grant Pingo a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, transmit, display, and otherwise process your User Content only as reasonably necessary to operate, provide, secure, moderate, troubleshoot, and improve the Services and to comply with law. This licence permits technical modifications such as resizing an image for display. It ends when the content is deleted from our systems, except where continued retention is permitted under our Privacy Policy or applicable law.

You represent that you own or have all rights and permissions needed for your User Content and its use through the Services. You must not upload another person’s private information, image, intellectual property, or location without appropriate permission.

You may not use the Services to harass, threaten, stalk, exploit, defraud, impersonate, discriminate against, sexually exploit, dox, or harm anyone; arrange unlawful activity; facilitate trafficking or prostitution; promote violence or self-harm; or post content that is illegal, pornographic, hateful, deceptive, infringing, dangerous, or grossly offensive.

You may not spam, scam, manipulate rankings or reports, submit knowingly false reports, distribute malware, probe vulnerabilities, evade enforcement, interfere with another user’s access, collect personal information without permission, or use the Services for unauthorized commercial solicitation.

Pingo provides reporting and blocking tools. We may investigate, preserve evidence, remove or restrict content, cancel event access, remove users from conversations, limit features, suspend or terminate accounts, notify affected users, or contact law enforcement when we reasonably believe action is necessary. We aim to respond to safety concerns promptly but do not guarantee a particular investigation or resolution time.

Pingo does not conduct criminal background checks or provide in-person supervision and cannot guarantee another user’s identity, intentions, statements, safety, legality, or conduct. A verified badge, mutual friend, event attendance, report status, Travel Rank, or subscription is not an endorsement or safety guarantee.

You decide whether to communicate, attend an event, travel, or meet another person and assume the ordinary risks of those decisions. Use sound judgment: meet publicly when appropriate, tell someone you trust, arrange your own transportation, protect personal and financial information, respect consent and boundaries, and leave or contact local emergency services if a situation feels unsafe.

Pingo is not an emergency service and cannot dispatch police, medical, rescue, or other emergency assistance.

Itineraries, descriptions, recommendations, routes, place details, external-source links, and other information may be generated by AI or obtained from third parties. They may be incomplete, outdated, inaccurate, unavailable, or unsuitable for you.

Always independently verify opening hours, addresses, prices, reservations, accessibility, weather, safety conditions, visa rules, health guidance, transportation, and other important information before relying on it. Pingo does not guarantee that an itinerary or recommendation is safe, lawful, available, or fit for a particular purpose.

Pingo Pro is an optional auto-renewing subscription that may provide features such as Nearby Buddy viewing, higher event and trip limits, AI itineraries, expanded traveler and event discovery, profile-view notifications, and Travel Rank leaderboard access. The benefits presented in the app at purchase control and may change for future subscription periods.

Available plans, local prices, billing periods, taxes, and trial eligibility are displayed by Apple before purchase and control over any conflicting website description. A trial, when offered, converts to a paid subscription unless cancelled before it ends. Eligibility is determined by Apple and is not guaranteed.

Apple processes payment through your Apple ID. Subscriptions renew automatically unless cancelled through your Apple account settings before renewal. Cancellation takes effect at the end of the paid period unless Apple states otherwise. Deleting Pingo does not cancel your subscription. Refund requests are determined by Apple under its policies and applicable law. Pingo provides Restore Purchases where supported.

We may change subscription pricing or benefits prospectively with notice and consent where required by Apple or law. A suspension or termination for violating these Terms does not automatically entitle you to a refund.

The Services may depend on or link to third-party authentication, payment, maps, place data, AI, storage, web, or social services. Third-party services are governed by their own terms and privacy policies, and Pingo does not control their content, availability, security, or conduct.

If you downloaded Pingo from Apple, your use must also comply with applicable App Store terms. Apple is not responsible for maintaining or supporting Pingo. To the extent required by Apple’s standard terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable mobile-app provisions.

The Services, including Pingo’s software, design, branding, logos, text, graphics, databases, and non-user content, are owned by or licensed to Pingo and protected by intellectual-property laws. Except for the limited licence above, no rights are granted to you.

If you send ideas or feedback about Pingo, you grant us permission to use them without restriction or compensation, but you do not transfer ownership of unrelated User Content.

If you believe content in the Services infringes your intellectual-property rights, email support@pingoapp.co with your contact information, identification of the protected work, identification and location of the disputed material, the basis of your claim, and any statements or signature required by applicable law. We may remove material and address repeat infringement where appropriate.

You may stop using Pingo at any time. Settings provides a standard deletion with a 15-day restore period and a permanent-deletion option without restoration. Account deletion and data retention are described more fully in the Privacy Policy.

We may warn, restrict, suspend, or terminate an account or remove content when we reasonably believe you violated these Terms, created legal or safety risk, abused users or systems, failed to pay an applicable charge, or when action is required to protect Pingo, users, third parties, or the Services. Where appropriate and legally permitted, we may provide notice or an opportunity to appeal.

Provisions that by their nature should survive termination—including ownership, licences needed for retained records, disclaimers, liability limits, indemnification, dispute terms, and miscellaneous provisions—will survive.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PINGO DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING.

PINGO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, OR AVAILABLE; THAT CONTENT WILL BE PRESERVED; OR THAT USERS, EVENTS, TRIPS, MEETINGS, AI OUTPUT, OR THIRD-PARTY INFORMATION WILL BE SAFE, LAWFUL, ACCURATE, OR SUITABLE.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law and do not affect non-waivable consumer rights.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINGO STUDIOS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY; OR DAMAGES ARISING FROM USER CONDUCT, CONTENT, EVENTS, TRAVEL, IN-PERSON MEETINGS, AI OUTPUT, THIRD-PARTY SERVICES, OR UNAUTHORIZED ACCOUNT ACCESS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF 100 U.S. DOLLARS OR THE AMOUNT YOU PAID PINGO THROUGH THE APP STORE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not exclude liability that cannot legally be limited, including liability for fraud or wilful misconduct where applicable. Your jurisdiction may provide additional non-waivable rights.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pingo Studios LLC and its members, officers, employees, contractors, and affiliates from third-party claims, damages, losses, liabilities, and reasonable legal fees arising from your unlawful use of the Services, your User Content, your event or in-person conduct, your infringement of another person’s rights, or your material violation of these Terms. This obligation does not apply to the extent a claim results from Pingo’s own unlawful conduct.

We may update these Terms to reflect changes to the Services, law, safety practices, or business operations. We will post revised Terms with a new effective date. For material changes, we will provide reasonable additional notice through the Services, by email, or by another appropriate method. Changes apply prospectively unless law requires otherwise. If you do not agree to revised Terms, stop using the Services and delete your account.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that mandatory consumer-protection laws in your place of residence continue to apply where they cannot lawfully be waived.

Before filing a formal claim, you and Pingo agree to make a good-faith attempt to resolve the dispute by sending a written description to support@pingoapp.co and allowing 30 days for a response. This requirement does not prevent either party from seeking urgent injunctive relief or using an eligible small-claims process.

Subject to non-waivable law, disputes that are not resolved informally will be brought in a state or federal court with jurisdiction in Delaware, and each party consents to personal jurisdiction and venue there. These Terms do not require arbitration and do not waive any right to participate in a class action that applicable law provides.

These Terms and the Privacy Policy are the entire agreement between you and Pingo regarding the Services unless we enter a separate written agreement. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, financing, reorganization, acquisition, sale of assets, or by operation of law. No agency, partnership, joint venture, employment, or franchise relationship is created by these Terms.

Electronic communications and notices satisfy legal writing requirements where permitted. Section headings are for convenience only. The English version controls to the extent permitted by law if a translation conflicts with it.
